Terms of Use

These Terms of Use govern access to and use of Teamy, a software product developed and operated by Orbyte Labs Limited (“Orbyte Labs”), a company registered in Hong Kong under company number 78783408, with its registered office at Unit B, 11/F, Yam TZE Commercial Building, 23 Thomson Road, Wan Chai, Hong Kong SAR.
Teamy enables organizations to deploy, configure and supervise artificial intelligence agents, connect third-party tools, coordinate tasks, process files, manage organizational context and control certain actions through human validation mechanisms.
By using Teamy, you accept these Terms on behalf of the organization you represent. If you do not have the authority to bind that organization, you must not use Teamy on its behalf.
1. Scope
These Terms apply to the Teamy website, the Teamy application, workspaces, AI agents, integrations, support communications and related services.
They apply unless a subscription agreement, commercial proposal, order form or written agreement signed with Orbyte Labs provides specific terms.
In case of conflict, the signed agreement prevails for commercial, financial, duration, commitment and subscription scope matters. These Terms continue to apply to the general rules governing the use of Teamy.
2. Eligibility, accounts and organization
Teamy is intended for professional use by organizations.
You may only use Teamy if you have the necessary authority to act on behalf of the organization you represent.
The Client is responsible for managing its Teamy workspace, including authorized users, access rights, permissions, integrations, agents, workflows and validations.
The Client is responsible for the security of credentials, actions performed through its user accounts, and removing access for individuals who are no longer authorized to use Teamy.
3. Client responsibilities
The Client is responsible for the information, files, instructions, prompts, tasks, validations, configurations, integrations and content submitted to or processed in Teamy.
The Client represents that it has the necessary rights, authorizations and legal bases to use such content, connect third-party services and allow Teamy to process the relevant data.
The Client agrees to use Teamy in accordance with these Terms, applicable laws, third-party rights and the internal rules of its organization.
4. AI agents and human supervision
Teamy uses artificial intelligence models and automation to help the Client generate plans, messages, research, analyses, recommendations, documents, tasks and actions.
Outputs produced by Teamy may be incomplete, inaccurate, outdated, ambiguous or unsuitable for a specific use case.
The Client remains responsible for reviewing generated outputs, validating any decisions made on that basis and controlling actions executed through Teamy.
Human validation, approval or control mechanisms provided by Teamy are supervision tools. They do not guarantee that all errors, unwanted actions or non-compliance issues will be detected or blocked.
Teamy does not replace professional advice, including legal, tax, accounting, financial, medical, HR, security, compliance or regulatory advice. Any sensitive decision must be subject to appropriate human review.
5. Connected services and integrations
Teamy may connect to third-party tools, including email, calendar, storage, documents, messaging, social media, development, billing, payment, analytics, AI models or other professional systems.
When the Client connects a third-party service, it authorizes Teamy to use the permissions granted through the applicable integration process.
Use of these third-party services remains subject to their own terms, policies, usage rules, technical limits and availability.
Orbyte Labs is not responsible for the availability, security, changes, restrictions, errors, interruptions or decisions of these third-party services.
Orbyte Labs may modify, suspend or remove an integration if necessary for technical, commercial, security, compliance reasons or due to changes imposed by a third-party provider.
6. AI credits and commercial terms
Certain Teamy features may be subject to paid plans, AI credits, top-ups or usage limits.
The commercial terms applicable to the Client are defined in the subscription agreement, commercial proposal, order form, invoice or any other written agreement accepted by Orbyte Labs.
Unless otherwise stated in an applicable agreement, AI credits included in a subscription are allocated monthly, non-carryover, non-refundable, non-transferable and expire at the end of each monthly period.
If included credits are consumed before the end of the monthly period, the relevant usage may be suspended or limited until credits renew or until an additional top-up is purchased, if available.
Unless otherwise stated, prices are exclusive of taxes. Any tax, VAT, withholding, reporting obligation, reverse charge mechanism or tax obligation applicable in the Client’s jurisdiction remains the responsibility of the Client, unless otherwise required by law.
7. Acceptable use
The Client and its users agree to use Teamy lawfully, responsibly and in accordance with these Terms.
Teamy must not be used to:
- violate the law or infringe third-party rights;
- transmit illegal, misleading, fraudulent, harmful or abusive content;
- send spam, phishing or unauthorized communications;
- create, transmit or execute malicious code;
- attempt to gain unauthorized access to systems, accounts or data;
- bypass technical limits, permissions, validations or security controls;
- disrupt the stability, security or operation of Teamy;
- make sensitive decisions without appropriate human review.
Orbyte Labs may suspend or restrict access to Teamy in the event of an actual or suspected breach of this section, or if the use of Teamy creates a security, legal, technical, financial or reputational risk.
8. Intellectual property
Teamy, including its software, interface, design, brand, documentation, workflows, methods, features and technical elements, remains the exclusive property of Orbyte Labs or its licensors.
No ownership rights in Teamy are transferred to the Client.
Subject to compliance with these Terms and payment of applicable fees, Orbyte Labs grants the Client a limited, non-exclusive, non-transferable and revocable right to use Teamy for its internal business purposes.
The Client retains ownership of the content it submits to Teamy. The Client grants Orbyte Labs the limited rights necessary to host, process, transmit, display, secure and use such content to the extent required to provide, maintain, secure and improve Teamy.
9. Confidentiality and personal data
Each party agrees to protect the other party’s confidential information with reasonable care and not to disclose it to unauthorized third parties, except where necessary to provide Teamy, comply with the law or perform an applicable agreement.
Use of Teamy may involve the processing of personal data. Such processing is described in the Teamy Privacy Policy.
When the Client uses Teamy to process personal data, the Client remains responsible for determining the purposes, legal bases, information to be provided to data subjects, retention periods and applicable rights, except where Orbyte Labs acts as an independent controller for its own purposes.
Where the Client is subject to the GDPR, the Swiss data protection law or any equivalent regulation, processing carried out by Orbyte Labs on behalf of the Client may be governed by a data processing agreement, including a Data Processing Agreement or equivalent appendix.
10. Availability and product evolution
Orbyte Labs strives to provide a reliable and available service, but does not guarantee that Teamy will be accessible without interruption, error, delay, vulnerability, downtime or performance degradation.
Teamy is an evolving software product. Orbyte Labs may improve, modify, replace, limit or remove certain features in order to improve the service, strengthen security, fix issues, adapt to technological changes or changes affecting third-party services.
For Clients with an active paid subscription, Orbyte Labs will use reasonable efforts not to materially reduce the essential features of the subscribed plan during the current commitment period, unless necessary for security, compliance, legal obligations, changes imposed by a third-party service or a significant risk to the platform.
11. Disclaimers and limitation of liability
Teamy is provided, to the extent permitted by law, “as is” and “as available”.
Orbyte Labs does not warrant that Teamy will be error-free, suitable for all specific needs of the Client, compatible with all systems or third-party services, or that AI-generated outputs will be accurate, complete, reliable or appropriate for every situation.
To the fullest extent permitted by applicable law, Orbyte Labs shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, business opportunities, reputation, goodwill, data, business interruption or replacement costs, arising out of or related to the use of Teamy.
To the fullest extent permitted by applicable law, Orbyte Labs’ total cumulative liability under Teamy, these Terms or any agreement related to the service, regardless of the cause of action, shall be limited to the total amount actually paid by the Client to Orbyte Labs for Teamy during the three months preceding the event giving rise to the claim.
12. Suspension and termination
Orbyte Labs may suspend or restrict all or part of access to Teamy if the Client fails to pay amounts due, breaches these Terms, creates a security, legal, technical or reputational risk, threatens the stability of the platform, or if required by law, a competent authority or a third-party service.
The Client may stop using Teamy at any time, subject to the duration commitments, notice periods, fees and payment obligations set out in its subscription agreement or applicable agreement.
Sections which by their nature should survive the end of use of Teamy will continue to apply, including those relating to intellectual property, confidentiality, data protection, amounts due, limitations of liability and governing law.
13. Changes to these Terms
Orbyte Labs may update these Terms to reflect changes to Teamy, legal requirements, business practices, features, risks or third-party services used.
The updated version will be published on the Teamy website with its effective date.
Continued use of Teamy after the updated Terms take effect constitutes acceptance of those changes, unless otherwise required by applicable law.
14. Governing law and contact
These Terms are governed by the laws of Hong Kong, without regard to conflict of law rules.
Any dispute arising out of or relating to these Terms, Teamy or the relationship between the Client and Orbyte Labs shall be subject to the exclusive jurisdiction of the courts of Hong Kong, unless otherwise required by mandatory applicable law.
